Terms of Use

1. Who we are and what this document governs

Virtual 360 ADS is a digital advertising management and marketing intelligence platform, developed and operated by Virtual RL Especializada Ltda., registered under Brazilian company number (CNPJ) 52.197.772/0001-69, with its registered office in Jundiaí, State of São Paulo, Brazil (the “Virtual 360 ADS”, “we”). These Terms of Use govern the access to and the use of the virtual360ads.com website, the waiting list, the published content and, where made available, the early access to the platform. By using any of these services, you declare that you have read and accepted these Terms, the Privacy Policy and the Cookie Policy, which form part of this document.

2. Current stage of the platform

The platform is in a pre-launch stage, with access restricted to evaluation accounts authorized by Virtual 360 ADS, free of charge and on a limited basis, for evaluation purposes. There is, as yet, no commercial contract, no paid plan and no guarantee that the service will continue. When the platform is launched commercially, these Terms will be updated and you will be notified in advance.

3. Who the service is intended for

Virtual 360 ADS is a service intended for professional and business use by advertisers, agencies, media buyers and marketing teams. By using the service, you declare that you are at least 18 years old and that you act on your own behalf, as a professional, or on behalf of a company you are authorized to represent.

4. Account, credentials and responsibility

You are responsible for keeping your credentials confidential and for everything done with your account. Notify us immediately at the contact email address if you suspect unauthorized use. We may suspend or terminate early access accounts at any time, with notice, in the event of a breach of these Terms, a security risk or the end of the evaluation stage.

5. Integrations with third party services

Virtual 360 ADS connects, with your express authorization, to third party platforms such as Google Ads, Google Analytics, Google Search Console and YouTube. Each connection is made through the authorization mechanism of the provider itself, and you may revoke it at any time in the security settings of your account with the provider or within the platform.

Use of data obtained through Google APIs. The use and transfer by Virtual 360 ADS of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. This means that the data obtained through the integrations is used only to provide and improve the features you see in the platform, is never sold, is never used for advertising and is only accessed by humans where necessary for security, for support requested by you or to comply with the law.

YouTube. By connecting a YouTube account, you also agree to the YouTube Terms of Service (https://www.youtube.com/t/terms) and acknowledge the Google Privacy Policy (https://policies.google.com/privacy). The YouTube data accessed by the platform is kept only for as long as necessary to display the analytics, is refreshed periodically, and may be deleted by you when you disconnect the integration. To revoke the access of Virtual 360 ADS to your Google data, use the security page of your Google Account (https://myaccount.google.com/permissions).

Third party providers have their own terms and policies, which apply independently of these.

6. Advertising accounts and actions performed by the platform

The actions you perform through the platform on advertising accounts, such as creating campaigns, pausing, enabling, changing budgets, bids, targeting and ads, are your orders, executed in your accounts, in your name and under your responsibility. Before actions with a material financial impact, the platform asks for confirmation and records the operation. The financial relationship regarding media spend is exclusively between you and the advertising platform; Virtual 360 ADS does not charge, intermediate or answer for those amounts.

You are responsible for the content of your ads and for compliance with the policies of the advertising platforms, including the declarations they require, such as the self declaration on political advertising targeting the European Union.

7. Data presented and limits of the service

The platform presents data obtained from the connected platforms and from the analyses performed on it. We do not invent numbers: when a data point is not available, that is shown as unavailability and not as zero. Even so, third party data may arrive late or incomplete, or be revised by the provider. Recommendations and diagnostics generated by the platform, including those generated by artificial intelligence, are decision support and do not replace your professional analysis.

8. Acceptable use

You agree not to use the service for illegal activities, to infringe the rights of third parties, to attempt to access the data of other users, to circumvent technical or security limits, to overload or interfere with the infrastructure, or to copy, resell or commercially exploit the platform without written authorization.

9. Intellectual property

The platform, the website, the Virtual 360 ADS brand, the code, the design, the texts and the remaining materials are the property of Virtual RL Especializada Ltda. or of its licensors and are protected by applicable law. These Terms grant only a limited, revocable and non exclusive license to use the service. The data of your advertising accounts and of your integrations remains yours.

10. Privacy

The processing of personal data is described in the Privacy Policy and in the Cookie Policy, available on the website. In summary: we collect the minimum necessary, we protect the data with appropriate technical measures, we do not sell data to third parties and we honor the rights provided for by applicable law, such as access, correction, portability and deletion.

11. Availability, warranties and liability

During the pre-launch stage, the service is provided “as is” and “as available”, without any warranty of uninterrupted or error free operation. To the extent permitted by applicable law, Virtual 360 ADS is not liable for loss of profits, loss of data caused by third parties, unavailability of the connected platforms, or decisions made on the basis of the information presented. Nothing in these Terms excludes liability that the law does not allow to be excluded.

12. Changes to these Terms

We may update these Terms to reflect changes in the service, in the law or in the requirements of the providers. Material changes will be communicated through the website or by email with reasonable advance notice. The date of the last update appears at the top of this document.

13. Governing law, local rights and jurisdiction

General rule. These Terms are governed by the laws of the Federative Republic of Brazil, and the courts of the Judicial District of Jundiaí, State of São Paulo, are elected to settle any dispute, with waiver of any other.

Rights granted by the law of your country. Virtual 360 ADS is offered to users in Brazil, in the other countries of the Americas (North, Central and South), in the European Union and the European Economic Area, in the United Kingdom, in the United States and in Canada. If you are in one of those places and local law grants you rights that cannot be waived by contract, such as the personal data protection rights provided for in the General Data Protection Regulation (GDPR) of the European Union, in the Brazilian General Data Protection Law (LGPD) or in the state privacy laws of the United States, those rights prevail over what is written here, and the jurisdiction clause does not prevent you from bringing a claim before the competent courts of your country where the law so determines.

Other countries. If you access the service from a country not listed above, the access is made at your own initiative, under your own responsibility as to compliance with local laws, and the rules of these Terms, governed by Brazilian law, apply in full.
